  3. All personal terms apply equally to both genders. For reasons of better readability, the simultaneous use of masculine and feminine forms of language has been dispensed with.
  4. A "Consumer" within the meaning of these GTC is any natural person who enters into a legal transaction for purposes that are predominantly neither attributable to his commercial nor to his independent professional activity.
  5. "Entrepreneur" within the meaning of the GTC is a natural or legal person or a partnership with legal capacity who, when concluding a legal transaction, acts in the exercise of his commercial or self-employed professional activity.
  6. 7. Regardless of the terminology used in the GTC, such as "Vendor", the legal classification of the contract and the applicable statutory regulations are always determined by the legal requirements of the respective types of contracts. These GTC do not limit the statutory definitions and regulations in any way.

  2. E-mail address: hello@getparu.app

3. Purchases via app stores

  1. When downloading and purchasing apps, as well as paid features or digital content within the apps via the Apple App Store, the technical handling of the purchase process, in particular payment processing, invoicing and, where applicable, refunds, is carried out by Apple as the operator of the App Store. The Apple App Store is a digital distribution platform through which users can download apps and purchase paid features or digital content within an app. Payment is processed via the Customer’s Apple account. Where subscriptions are concluded via the Apple App Store, management, cancellation and modifications are handled via the respective Apple account. In addition, Apple's contractual and terms of use as well as the settings of the respective Apple account apply.
  2. When downloading and purchasing apps as well as paid features or digital content within the apps via the Google Play Store, the technical processing of the purchase, in particular payment processing, invoicing and, where applicable, refunds, is carried out by Google as the operator of the app store. The Google Play Store is a digital distribution platform through which users can download apps and purchase paid features or digital content within an app. Payment is processed via the Customer’s Google account. Where subscriptions are concluded via the Google Play Store, management, cancellation and changes are handled through the respective Google account. In addition, Google's contractual and terms of use as well as the settings of the respective Google account apply.

4. Contract Text and Contract Language

The contract languages are German and English, contracts can be concluded in these languages.

5. Digital Services

  1. "Digital Service" means a service that allows the Customer, who is a Consumer, to create, process, store or access data in digital form; or a service that allows the sharing of or any other interaction with data in digital form uploaded or created by the Customer or other users of that service.
  2. The provisions of these GTC shall apply accordingly to Digital Services.

6. Customer Account

  1. The Vendor provides the Customer with a Customer account. Within the Customer account, the Customer is provided with information about the orders and their Customer data stored with the Vendor. The information stored in the Customer account is not public.
  2. Customers are obligated to provide truthful information in their Customer account and to adjust the information in case of changes in the actual circumstances, as far as this is necessary (e.g. the changed email address in case of a change or the changed postal address before an order). Customers are responsible for any disadvantages that may arise due to incorrect information.
  3. Customers are responsible for their customer accounts within their sphere of influence and to the extent that it is reasonable for them to assume responsibility. It is the customers' responsibility to use the access data for their customer account with the utmost care and to take any measures to ensure the confidential and secure handling of the data and to prevent disclosure to third parties. Customers are required to inform the Vendor immediately if there is reason to suspect that a third party has knowledge of access data and/or is misusing the customer account.
  4. The Customer account may only be used in accordance with the applicable legal provisions, in particular the regulations for the protection of third-party rights, and subject to the Vendor's GTC, using the access masks and other technical access options provided by the Vendor. Any other type of use, in particular by external software such as bots or crawlers, is prohibited.
  5. When customers store, share or otherwise publish content or information in their customer account, they are responsible for that content. Depending on technical capabilities, this content includes texts, images and personal details. The seller does not endorse the customers' content and does not identify with it. However, the seller reserves the right to take necessary actions in cases of legal issues or threats to third parties. These actions are based on carefully selected criteria with the aim of ensuring that each action is justified. It is assessed whether an action is necessary to resolve the problem or avert the danger. Furthermore, it is evaluated whether the action is proportionate to the seriousness of the problem or threat. Care is also taken to ensure that it is carried out with due diligence and after a thorough assessment of all relevant information and circumstances. Finally, the action must be based on an objective and unbiased assessment of the situation.Possible actions include deleting the relevant content, requests for statements or corrections, warnings, legal steps or even bans from premises. In deciding upon these measures, the seller takes into careful consideration the requirements of the situation and the rights and interests of all parties involved. In particular, customers' fundamental rights are taken into account in order to ensure a fair and equitable solution.
  6. Customers can cancel their customer account at any time. The Vendor can cancel the customer account at any time with reasonable notice, which is usually two weeks. The termination must be reasonable for the customer. The Vendor reserves the right to terminate for exceptional reasons.

7. Copyright and Rights of Use

  1. The documents, instructions, informational materials, products and media – such as photographs, images, graphics, videos or audio recordings (hereinafter referred to as "Protected Content") – provided by the Vendor to the Customer may, unless expressly agreed otherwise, be used exclusively for the individual and contractual use by the Customer. In addition, they are protected by intellectual property rights, in particular copyright. The rights of use and exploitation of the Protected Content remain with the Vendor or the respective rights holders. The Customer undertakes to acknowledge and observe these usage restrictions as well as the intellectual property rights.
  2. The Customer is granted simple rights of use to utilise the acquired Protected Content for contractual purposes. Any further use or exploitation of the Protected Content is not permitted. In particular, Protected Content may not be reproduced, distributed, made publicly accessible on the internet or intranets, or otherwise made available to third parties.
  3. If there is a justified suspicion of misuse or a significant breach of these provisions for the protection of Protected Content, the Service Provider is entitled to take appropriate verification and protective measures until the suspicion has been clarified. In the event of serious breaches or breaches that continue despite a warning, the Service Provider is entitled to terminate the contractual relationship without notice. The Customer shall be liable for damages incurred by the Service Provider as a result of a culpable breach of duty attributable to them.

8. Warranty and Liability

  1. The warranty (liability for defects) and liability for other poor performance are subject to statutory provisions, except as otherwise provided.
  2. The Vendor shall be liable for damages without limitation insofar as the cause of the damage is based on intent or gross negligence. Furthermore, the Vendor shall be liable for the slightly negligent breach of essential obligations, the breach of which endangers the achievement of the purpose of the contract, for the breach of obligations, the fulfilment of which makes the proper performance of the contract possible in the first place and on the compliance with which the customer regularly relies (cardinal obligations) or in the case of agreed guarantee commitments. In this case, however, the Vendor shall only be liable for the foreseeable, contract-typical and expectable damage. The Vendor shall not be liable for the slightly negligent breach of obligations other than those mentioned above. The above limitations of liability shall not apply in the event of injury to life, limb or health, for a defect following the assumption of a guarantee for the quality of the product and in the event of fraudulently concealed defects. Liability under the product liability law remains unaffected. Insofar as the Vendor's liability is excluded or limited, this shall also apply to the personal liability of employees, representatives and vicarious agents. In all other respects, claims for damages by the Customer shall be excluded. The above liability provisions shall also apply to claims for damages by the Customer under the Vendor's statutory warranty.

9. Data protection and confidentiality

The Service Provider processes personal data exclusively in accordance with the applicable data protection laws. Details regarding data processing as well as the rights of the data subjects are outlined in the Service Provider’s privacy policy.

10. Special terms for the “PARU Baby Names” app

1. Services of the app

(1) The “PARU Baby Names” app (the “App”) helps Customers find first names. Customers can view, rate and compare names, keep favourites lists, search for names together with a partner (“Couple feature”) and put names to a family vote (“Family polls”). The basic features are free of charge. Additional features (“PARU+”) can be purchased as a subscription or one-time purchase via the Apple App Store or Google Play; the section “Purchases via app stores” applies.

(2) These GTC apply to any use of the App, including free use and use without a Customer account. A “Customer” within the meaning of these GTC is any person who uses the App; no purchase is required. For persons who take part in a Family poll via a voting link without a Customer account, exclusively section 2 sentence 3 and sections 4 and 6 of these special terms and the sections “Warranty and Liability” and “Data protection and confidentiality” of the remaining GTC apply.

(3) Without a Customer account (“guest mode”), the App stores personal search settings, ratings and favourites lists only on the Customer’s device. Name suggestions submitted by the Customer, including any optional additional information, are, however, transmitted to and stored by the Vendor. The data stored on the device may be lost when the App is deleted or the device is changed. Certain features, in particular the Couple feature, Family polls and sharing, require a Customer account.

(4) Beyond what is necessary to keep the App in conformity with the contract, the Vendor may change the App only where this is necessary to maintain compatibility with changed operating systems or technical interfaces, to ensure performance with an increased number of users, or to meet changed binding technical or security requirements of the app stores on which the continued distribution of the App depends, or where this serves to extend the possibilities for searching, rating and jointly choosing first names or the information on first names and new, additional, optional features are added for this purpose without removing or impairing existing features; the change must be reasonable for the Customer, taking into account the Vendor’s interests. Such changes do not cause any additional costs for the Customer, and the Vendor informs the Customer clearly and comprehensibly about the change. If a change impairs the Customer’s access to or use of the App more than only insignificantly, the Vendor’s additional information duties and the Customer’s right to terminate the contract free of charge under Section 327r (2) to (4) of the German Civil Code (BGB) apply. Such a change does not reduce the scope of purchased services as described at the time of purchase.

(5) The App contains features that allow Customers to share names and lists with other people. Use of these features to the extent provided by the App is permitted; otherwise the section “Copyright and Rights of Use” applies.

(6) Customers can delete their Customer account in the App at any time. Deletion takes effect immediately and cannot be undone. Subscriptions concluded via an app store are not terminated by this; they must be cancelled in the respective app store.

(7) An ordinary termination of the Customer account by the Vendor (section “Customer Account”) does not affect claims arising from services already purchased; the account access required to use them is maintained for the agreed term of those services. The right to terminate for good cause remains unaffected.

(8) A one-time purchase (“Lifetime”) entitles the Customer to use the scope of services described at the time of purchase without recurring charges and without an expiry date. It ends only if the Vendor discontinues the App as a whole or ceases its business operations. Neither the Vendor nor the Customer may terminate the one-time purchase for convenience; the right to terminate for good cause remains unaffected. The Vendor notifies affected Customers of a discontinuation of the App or of its business operations at least six months in advance in text form.

(9) Deleting the Customer account is not deemed a waiver of a one-time purchase and does not in itself trigger a refund. As long as the purchased services are provided, the Customer can reassign the purchase to a new Customer account using the Apple or Google Play account originally used, via “Restore purchases”; deleted content and couple connections are not restored thereby.

(10) In guest mode, the App informs the Customer before first use that by starting to use the App without a Customer account they agree to these GTC, and makes them available via a link; the free contract of use is concluded when the Customer then starts using the App in guest mode. If the Customer registers, it is concluded when the login is successfully completed. To log in by e-mail, the Customer enters their e-mail address and requests a login code with “Send code”; if the address is not yet registered, an initially unconfirmed Customer account is created at this point. With the code sent to them, the Customer confirms their e-mail address and completes the login; in the case of an existing Customer account, they log in to that account. Alternatively, login with Google or, on iOS, with Apple is possible. Before submitting, the Customer can change their entries in the input field; an incorrectly entered e-mail address can be corrected before the code is entered. Before starting the login process, the Customer is informed in the login form that these GTC apply and can access them via a link. Paid services (PARU+) are purchased by the Customer via the Apple App Store or Google Play. The terms of the respective store apply to the purchase; the seller is the company designated there for the purchase, the store confirms the purchase, and claims against that company remain unaffected. The contract of use with the Vendor is to be distinguished from this; in addition, the section “Purchases via app stores” applies. The Vendor archives the published versions of these GTC and, for Customers with a Customer account, records the accepted version and the time at which the consent was recorded on the server; in guest mode, the App stores the accepted version and the time of consent only on the Customer’s device. The Vendor offers amendments to these GTC to Customers without a Customer account in the App for express consent; without consent, the previous GTC continue to apply to them to the extent they are effective, and the App remains usable to the extent previously agreed. At https://getparu.app/baby-names/terms the Customer can retrieve, save and print the current version and, via the archive linked there, earlier published versions; every published version remains available at its own unchangeable address. On request to hello@getparu.app, the Vendor sends the Customer the version applicable to their contract in text form.

2. Minimum age

The App is intended for persons aged 18 and over. Only persons aged 18 or over may create a Customer account. Persons without a Customer account can take part in Family polls; minors may only take part with the consent of their legal representatives.

3. Couple feature

(1) Two Customers with Customer accounts can connect their accounts via an invitation link, a code or a QR code. An invitation is valid for 24 hours. A Customer account can only be connected to one partner at a time.

(2) Once connected, both partners’ ratings are shared for the joint features, in particular for joint matches, superlikes and the degree of agreement between ratings. Personal notes are not shared.

(3) Either partner can disconnect at any time in the App. Joint matches are then no longer visible; the Customer’s own ratings are retained.

(4) If one partner has access to “PARU+ Couple”, the connected partner may share the couple features for the duration of the connection. This shared use ends automatically when the connection is ended, a Customer account is deleted or the other partner’s couple access ends. The partner receiving shared access does not acquire a claim to PARU+ of their own.

4. Family polls

(1) Customers with a Customer account can put names from their favourites lists to a vote and pass on personal links to other people (e.g. family members). Participants do not need a Customer account and vote using predefined answers.

(2) The creator of a poll names the participants themselves (e.g. “Grandma”). The creator is responsible for using links and names lawfully and does not enter full names or other personal data of third parties without their consent.

(3) The creator’s display name, any poll title, the participant’s label and the names put to the vote can be accessed via the voting link. The creator can access the results. If the poll is assigned to a couple connection that is still active, both partners may receive notifications about new votes and results, depending on their notification settings.

(4) A poll runs for the selected duration of 12 to 48 hours; the links are then closed. The creator can end or delete a poll early. Polls and votes are deleted automatically in the next daily deletion run once 30 days have passed since the poll ended.

5. Name suggestions and error reports

(1) Customers can suggest missing names and report suspected errors in the name information. Suggestions and reports are reviewed by the Vendor’s editorial team. Name suggestions and editorial change requests give rise to no claim to their adoption. The Customer’s statutory rights in respect of defects in the services provided remain unaffected.

(2) By submitting, the Customer allows the Vendor to review the suggestion or report and to use the information provided free of charge to improve the name directory.

(3) Suggestions and reports must not contain personal data of third parties.

6. Prohibited content, notices and measures

(1) Customers must not enter or share any content in the App, for example in display names, poll titles and participant labels, suggestions or reports, that is unlawful or infringes the rights of third parties, in particular no offensive, discriminatory, threatening, violence-glorifying, pornographic or content harmful to minors, no advertising or spam and no personal data of third parties without their consent.

(2) Unlawful content and breaches of these GTC can be reported at any time by e-mail to hello@getparu.app and, where the App offers a reporting function for this purpose, also via that function. The notice should state the exact location of the content in the App (e.g. the couple connection or poll concerned) and the reasons why the content is unlawful or breaches these GTC, as well as the name and e-mail address of the person submitting the notice and a statement that the information provided is accurate and complete to the best of their knowledge; statutory exceptions to providing a name and e-mail address remain unaffected. The Vendor decides on every notice in a timely, diligent, non-arbitrary and objective manner. Where electronic contact details are provided, it confirms receipt without undue delay and informs the person submitting the notice of its decision without undue delay, together with information on the available means of redress.

(3) Notices and objections are reviewed by a human at the Vendor; the Vendor does not use automated means to detect or assess content. In the event of breaches, the Vendor may take the measures set out in the section “Customer Account” against Customers with a Customer account; against participants without a Customer account, it may request a correction, remove the information concerned or restrict further participation in the poll. Every measure must be necessary and proportionate, taking into account the severity of the breach and the interests of those involved. If the Vendor restricts content, participation or the Customer account, it provides the person concerned, at the latest when the restriction takes effect, with a clear and specific statement of reasons: the type, scope and duration of the measure, the facts relied on and whether the measure was taken following a notice, the legal provision or provision of these GTC concerned with a specific explanation of why the content concerned breaches it, and the available means of redress; statutory exceptions remain unaffected. The person concerned may object to the measure by e-mail to hello@getparu.app; the Vendor will then review the decision again and inform them of the outcome. Recourse to the courts remains unaffected.

(4) Customers can disconnect from their partner at any time; creators of polls can end poll links at any time.

7. Founder Pass and promo codes

(1) As part of promotions, the Vendor may grant Customers free access to PARU+, for example as a “Founder Pass” (seven days of PARU+ Couple, for a limited number of Customers and at most once per Customer account) or via promo codes. The scope and duration of promotional access are set out in the respective promotion description. There is no claim to participate in a promotion.

(2) Time-limited promotional access ends automatically when the stated period expires. Promotional access is free of charge, no cancellation is required, and it does not turn into a paid subscription.

(3) Each promo code can be redeemed once per Customer account; the communicated overall quota and the communicated validity period also apply. Promo codes cannot be exchanged for cash. Redemption is not possible on all platforms. In the event of misuse, the Vendor may revoke promotional access.

8. Name information and name collection

(1) The App contains information about first names, in particular their meaning, origin, name days, famous bearers, popularity and pronunciation. This information is based on public sources and the Vendor’s own research and is partly processed and translated automatically. It is intended for guidance only and is not binding; in particular, it does not replace information from the registry office on whether a first name is permissible.

(2) Popularity information is based on published statistics and on use of the App. The statistics come from Statistics Austria for Austria and from the Swiss Federal Statistical Office for Switzerland and each relate to the whole country; for Switzerland, they only include the names on the most recently published name list together with their earlier values. For Germany, the App contains no official statistics. Figures derived from use of the App describe the use of PARU. Ratings and scores in the App, for example regarding sound or taste, are computed estimates.

(3) The Customer may use the name information and its compilation in the App (hereinafter “Name collection”) for their personal search for a name and may in particular view, note down and pass on individual entries using the App’s sharing features (section “Services of the app” para. 5). The Vendor does not claim individual first names or other facts as such.

(4) Without the Vendor’s prior consent in text form, it is prohibited to read out, retrieve or copy content from the Name collection automatically or systematically in order to take over, reproduce, distribute or make publicly available the Name collection as a whole or in substantial parts, or to include it in one’s own databases, services or directories. This applies regardless of whether access takes place via the App or directly via the technical interfaces it uses, and also to repeated and systematic retrieval of smaller parts that together reach such an extent.

(5) Insofar as the Vendor holds rights in the Name collection or in individual content, it reserves uses for text and data mining pursuant to Section 44b(3) of the German Copyright Act (UrhG). The reservation also covers reproductions for training or developing artificial intelligence systems insofar as these constitute text and data mining within the meaning of Section 44b UrhG.

(6) Mandatory statutory rights of use remain unaffected, in particular under Section 87e UrhG and for text and data mining for the purposes of scientific research under Section 60d UrhG. Third-party content that the Vendor has taken over under an open licence or open terms of use, such as the first-name statistics of Statistics Austria (CC BY 4.0) and of the Swiss Federal Statistical Office (opendata.swiss), may be used by anyone in accordance with the respective licence or terms of use, including insofar as it is contained in the App in processed form. These licences and terms of use take precedence over conflicting restrictions of use in these GTC, in particular in the sections “Customer Account” and “Copyright and Rights of Use” and in paragraphs 3 to 5. The App lists the sources and licences on its page on data sources and licences.

(7) Requests for further use, for example for a licence for the Name collection, shall be sent by the Customer to the address stated in the section “Contact and service details”. In the event of breaches, the provisions on verification and protective measures, termination and liability in the section “Copyright and Rights of Use” apply; the Vendor’s statutory claims remain unaffected.

(8) The Vendor’s liability is governed by the section “Warranty and Liability”.

9. Amendments to these GTC

(1) The Vendor notifies Customers with a Customer account of any amendment to these GTC by e-mail to the address stored in the Customer account, explains the material changes and makes the new version available for retrieval and storage; in addition, it points out the amendment in the App. The amendment takes effect no earlier than six weeks after receipt of this e-mail. The Customer can consent to the amendment in the App or object to it in the App or in text form.

(2) An amendment only takes effect for the Customer with their consent. For the following amendments, consent is deemed to have been given if the Customer does not object before the amendment takes effect: a) adjustments that become necessary because laws, case law or binding official requirements change after the conclusion of the contract; b) rules that relate exclusively to new, additional features whose use is optional for the Customer and under which any additional obligations arise solely from their voluntary use; the existing services and the conditions for their use remain unchanged; c) amendments that are exclusively advantageous for the Customer or purely editorial, such as changed contact details. In the e-mail, the Vendor specifically points out the deadline and the significance of the Customer’s silence.

(3) Amendments to the scope of services already agreed, the charges, the term, the termination rights and liability, as well as new or extended obligations of the Customer outside the voluntary use of new additional features, only take effect with the Customer’s express consent; paragraph (2) sentence 2 does not apply to them.

(4) If the Customer objects in time to an amendment offered under paragraph (2), or does not give the express consent required under paragraph (3), the previous GTC continue to apply to them to the extent they are effective. The App remains usable to the extent previously agreed; account management and account deletion remain accessible at all times. In this case the Vendor may terminate the Customer account in accordance with the section “Customer Account”; paragraphs (7) and (8) of the section “Services of the app” of these special terms apply. Mandatory statutory provisions and the right to terminate for good cause remain unaffected.

11. Additional terms where the App is obtained via the Apple App Store

(1) These terms apply in addition if the Customer has obtained the App via the Apple App Store. The agreement on the use of the App is concluded solely between the Customer and the Vendor, not with Apple Inc. or its subsidiaries (“Apple”). The Vendor, not Apple, is solely responsible for the App and its content.

(2) The Customer receives a non-transferable right to use the App on Apple-branded products that the Customer owns or controls, as permitted by the usage rules of the Apple Media Services Terms and Conditions; accounts associated via Apple’s Family Sharing or volume purchasing may use the App to the extent provided by Apple.

(3) The Vendor is solely responsible for maintenance and support of the App. Apple has no obligation whatsoever to provide maintenance and support.

(4) The Vendor is solely responsible for warranty claims to the extent not effectively excluded; the Customer’s statutory rights remain unaffected. If the App fails to conform to any applicable warranty, the Customer may notify Apple, and Apple will refund the purchase price paid for the App. To the maximum extent permitted by law, Apple has no other warranty obligation whatsoever with respect to the App.

(5) The Vendor, not Apple, is responsible for addressing any claims of the Customer or any third party relating to the App or the Customer’s possession and use of it, including product liability claims, claims that the App fails to conform to any applicable legal or regulatory requirement, and claims arising under consumer protection, privacy or similar legislation.

(6) In the event of any third-party claim that the App or the Customer’s possession and use of it infringes that third party’s intellectual property rights, the Vendor, not Apple, is solely responsible for the investigation, defence, settlement and discharge of such claim.

(7) Use of the App is not permitted for persons who are located in a country that is subject to a U.S. Government embargo or that has been designated by the U.S. Government as a “terrorist supporting” country, or who are listed on any U.S. Government list of prohibited or restricted parties.

(8) The Customer should direct questions, complaints and claims regarding the App to: Devvise UG (haftungsbeschränkt), Kirchhofstraße 14, 66424 Homburg, Germany, e-mail: hello@getparu.app.

(9) The Customer must comply with applicable third-party terms of agreement when using the App, for example those of their mobile or internet service provider.

(10) Apple and its subsidiaries are third-party beneficiaries of these GTC. Upon the Customer’s acceptance of these GTC, Apple has the right (and is deemed to have accepted the right) to enforce these GTC against the Customer as a third-party beneficiary.

12. Consumer Dispute Resolution

We are not willing and not obliged to participate in any dispute resolution proceedings before a consumer arbitration board.
